Agreement to Terms
These Terms of Use (“Terms”) govern your access to and use of www.schaubenco.com and any related websites, applications, or services operated by Schauben & Co (“Schauben,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you must discontinue use of the Site.
About Schauben
Schauben is a sales representative agency that represents and markets brands to retailers and wholesale buyers. Schauben is not the manufacturer, seller, or merchant of record for the products displayed on the Site. All purchases, warranties, defects, safety claims, recalls, and fulfillment obligations are the responsibility of the respective brands or manufacturers.
Eligibility and Account Registration
To access certain features of the Site, you may need to create an account and provide accurate business information, such as resale certificates or tax identification numbers. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Schauben reserves the right to approve, deny, or revoke access at its discretion.
Website Content and Intellectual Property
All product images, descriptions, photographs, videos, text, graphics, logos, layouts, and other materials displayed on the Site (“Content”) are owned by Schauben, the brands we represent, or third-party licensors. User-Generated Content (Future Use)
The Site does not currently allow users to upload reviews, comments, or other user-generated content (“UGC”). If UGC features are added in the future, these Terms will automatically apply. Any future UGC must be lawful, appropriate, and non-infringing. Schauben may remove or restrict UGC at its discretion.
Prohibited Conduct
You agree not to use the Site in any manner that could harm Schauben, disrupt Site operations, or violate applicable laws. Prohibited activities include, but are not limited to:
- Scraping, harvesting, or mining product data or information
- Using bots, spiders, crawlers, or any automated tools to access the Site
- Circumventing authentication or security controls
- Reverse engineering, modifying, or disrupting Site functionality
- Uploading malware, viruses, or harmful code
- Attempting unauthorized access to systems or data
- Impersonating Schauben personnel or misrepresenting your identity
- Using product photography or brand assets without permission
- Engaging in fraudulent, illegal, or harmful activity
Schauben may suspend or terminate access for violations of these Terms.
Product Information and Third-Party Responsibilities
Product information, including pricing, availability, descriptions, and imagery, is provided by the brands represented by Schauben and may change at any time. Schauben does not guarantee accuracy or completeness. All orders, returns, replacements, warranties, and product issues must be handled directly with the applicable manufacturer, brand, or fulfillment provider.
Third-Party Links and Services
The Site may contain links to third-party websites or services. Schauben is not responsible for the availability, accuracy, policies, or practices of third-party platforms.

Security
While Schauben employs reasonable safeguards, no online system is completely secure. You are responsible for protecting your login credentials and notifying us immediately if you believe unauthorized access has occurred.

Limitation of Liability
To the fullest extent permitted by law, Schauben shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, data, goodwill, or business opportunities. Schauben’s total liability shall not exceed one hundred dollars ($100). If applicable law restricts these limitations, liability shall be limited to the maximum extent permitted by law.
Indemnification
You agree to indemnify, defend, and hold harmless Schauben and its employees, officers, affiliates, and partners from any claims, losses, liabilities, damages, or expenses arising out of your use of the Site, violation of these Terms, or infringement of third-party rights.
Arbitration Agreement
Any dispute, claim, or controversy arising from or relating to these Terms or your use of the Site shall be resolved exclusively through binding arbitration conducted in Atlanta, Georgia. Arbitration must be conducted on an individual basis.
No Class Actions
You agree that disputes must be brought only in your individual capacity and not as part of a class action, collective action, or representative proceeding.
Waiver of Jury Trial
You and Schauben waive any right to a jury trial in any legal proceeding related to these Terms.
Opt-Out of Arbitration
If you do not wish to be bound by the arbitration and class-action waiver, you must send written notice to Schauben within 30 days of your first use of the Site.
Governing Law and Venue
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles. Except where arbitration applies, all disputes must be brought in courts located in Atlanta, Georgia.
Changes to These Terms
Schauben may update these Terms at any time. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
